By submitting an application for API access, receiving credentials, or using the Sunny API in any capacity, you ("Integrator") agree to be bound by these Terms of Use. If you do not agree, do not use the API. These terms apply to your organization and any personnel who access the API under your credentials.
Access to the Sunny API is by invitation only. Solantex Holdings LLC reviews every application personally and reserves the right to approve or deny any application at its sole discretion, without obligation to provide a reason. Approval of an application does not create a contract for ongoing access. Solantex may modify eligibility requirements at any time.
Upon approval, Solantex will issue you an API key and secret ("Credentials"). Your Credentials are issued to your organization only and are non-transferable. You are solely responsible for all activity that occurs under your Credentials, regardless of whether that activity is authorized by you. You may not share, sublicense, sell, or otherwise transfer your Credentials to any third party.
You may use the Sunny API solely to build and operate integrations on platforms approved in your application. Permitted use includes embedding Sunny-powered responses within your own product for your own end users. The following are expressly prohibited:
Your API access is subject to rate limits set by Solantex. Limits may be adjusted at any time based on usage patterns, platform capacity, or your agreement terms. Solantex will make reasonable efforts to notify you of material limit changes, but is not required to do so. Exceeding rate limits may result in temporary throttling or permanent revocation of access.
You may not store, log, aggregate, mine, or otherwise retain Sunny conversation data beyond what is strictly necessary for the operation of your approved integration. You may not use Sunny conversation data to train machine learning models, build datasets, or derive insights about Solantex's underlying systems. You are responsible for complying with applicable privacy laws with respect to any end-user data that passes through your integration.
You must keep your Credentials confidential and store them securely. You must not expose your API key or secret in client-side code, public repositories, or any environment accessible to unauthorized parties. If you believe your Credentials have been compromised, you must notify Solantex immediately at developer@solantex.net and cease use of the compromised Credentials until new ones are issued. Solantex is not liable for unauthorized use of Credentials resulting from your failure to maintain their security.
If your integration surfaces Sunny-powered responses to end users, you must include the attribution "Powered by Solantex" in a reasonably visible location within that experience. You may not use the Solantex or Sunny name, logo, or marks in a way that implies endorsement, partnership, or affiliation beyond what is expressly described in your API agreement.
Solantex may suspend or permanently revoke your API access at any time, for any reason, with or without notice. Grounds for revocation include but are not limited to: violation of these terms, misuse of the API, conduct that reflects negatively on Solantex, or a business decision to discontinue your integration. Upon revocation, you must immediately cease all use of the API and destroy any stored Credentials. Provisions of these terms that by their nature should survive termination will do so.
The Sunny API is provided "as is" and "as available." Solantex makes no warranties, express or implied, regarding uptime, accuracy, fitness for a particular purpose, or uninterrupted access. We do not guarantee that the API will meet your requirements or that it will be error-free. Use of the API is at your own risk.
To the maximum extent permitted by applicable law, Solantex Holdings LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the API, even if advised of the possibility of such damages. Solantex's total liability to you for any claim arising under these terms will not exceed the amount paid by you to Solantex in the three months preceding the claim.
Solantex reserves the right to modify these terms at any time. Updated terms will be posted at this URL with a revised effective date. Continued use of the API after the effective date constitutes acceptance of the modified terms. If you do not agree to modified terms, your sole remedy is to stop using the API and notify Solantex to close your account.
These terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under these terms will be subject to the exclusive jurisdiction of the courts located in California.
